Terms of Service

These Terms of Service ("Terms") govern your use of ManageCanvas (the "Service"), a service
operated by ManageCanvas, LLC ("ManageCanvas", "we", "us"), PO Box 431, Willis, MI 48191, USA.
By creating an account or using the Service you agree to these Terms and to our
Privacy Policy and Acceptable Use Policy. If you use
the Service on behalf of an organization, you represent that you may bind it.

The Service

ManageCanvas lets you ("Artist") publish a storefront, sell original works and prints, manage
editions, and issue certificates of authenticity. We provide the software and hosting; you are
the seller of record
for everything you sell and the controller of your buyers' personal data.

Eligibility and accounts

You must be at least 16 and provide accurate account information. You are responsible for
activity under your account and for keeping your credentials secure.

Your content

You retain all rights in the artwork, images, text, and other materials you upload ("Artist
Content"). You grant us a worldwide, non-exclusive licence to host, reproduce, adapt (e.g.
resize/watermark), and display Artist Content solely to operate and provide the Service to
you
(including on your storefront, in certificates, and to fulfil orders through our providers).
You represent that you own or have the rights to your Artist Content and that it does not
infringe others' rights or violate our Acceptable Use Policy.

Sales, payments, and fees

You connect your own payment account (Stripe or Square); payouts go directly to you and we
never hold your funds. We may charge a platform fee, which is disclosed in the product before it
applies. You are responsible for setting your prices, describing items accurately, fulfilling
orders, honouring your own refund/return policy, and for all taxes on your sales. Payment
processing, print fulfilment, and shipping are provided by third parties under their own terms.

Certificates of authenticity

The Service can issue certificates of authenticity ("Certificates") for your works. Certain
Certificate actions are permanent by design
, because collectors rely on them:

  • When a Certificate is delivered to a buyer, it becomes a permanent, account-independent
    public attestation. It is preserved (as a tombstone, without buyer personal data) even if you
    later delete the artwork, the edition, or your account, and it remains verifiable.
  • Closing an artwork's catalog is irreversible. Once closed, the edition set is locked and we
    will not reopen it — this is the completeness guarantee shown to collectors, and we will not
    override it, including on request.

You are responsible for the accuracy of the information you attest to in a Certificate.

Edition integrity. Because collectors rely on your Certificates to represent a complete and
honestly-sized edition, you agree that ManageCanvas is your single source of truth for any
limited edition or original you represent or certify through the Service: the edition size you
declare is the true, total, and final number across every channel and format, and you will not
produce, sell, number, or certify additional units of that edition anywhere else. Open editions and
prints, which make no scarcity claim, are not restricted. Misrepresenting an edition is grounds for
certificate revocation and account termination.

Subscriptions

Paid plans (if any) are billed in advance and renew until cancelled; cancellation stops future
charges and does not delete your data. Fees are non-refundable except where required by law.

Acceptable use

You will comply with our Acceptable Use Policy and will not misuse the
Service, infringe others' rights, send unlawful communications, or attempt to disrupt or gain
unauthorized access to the Service.

Suspension and termination

You may stop using the Service and delete your account at any time from Settings. We may suspend
or terminate accounts that violate these Terms or the law, or to protect the Service or others.
On deletion we remove your data as described in the Privacy Policy, subject to
legal-retention and the Certificate permanence above.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind to the extent
permitted by law. We do not warrant that the Service will be uninterrupted or error-free. We are
not a party to transactions between you and your buyers.

Limitation of liability

To the maximum extent permitted by law, ManageCanvas will not be liable for indirect, incidental,
special, consequential, or punitive damages, or for lost profits or revenues; and our total
liability arising out of or relating to the Service will not exceed the greater of the amounts you
paid us in the twelve months before the claim or USD 100. Some jurisdictions do not allow certain
limitations, so some of these may not apply to you.

Indemnity

You will indemnify ManageCanvas against claims arising from your Artist Content, your sales, your
buyers, your taxes, or your breach of these Terms or the law.

Changes

We may update these Terms; we will change the version and effective date above and, for material
changes, provide notice. Continued use after changes means you accept them.

Governing law

These Terms are governed by the laws of the State of Michigan, USA, excluding its
conflict-of-laws rules. You and ManageCanvas submit to the exclusive jurisdiction of the state
and federal courts located in Michigan for any dispute arising out of or relating to these Terms
or the Service, except where applicable consumer-protection law gives you the right to bring a
claim in your place of residence.
